These terms and conditions govern your use of Taskiva's website and AI receptionist services. By accessing this website or using our services, you agree to be bound by these terms in full. If you do not agree with any part of these terms, you must not use our website or services.

Taskiva reserves the right to modify these terms at any time without prior notice. Continued use of our services after changes constitutes acceptance of the updated terms. It is your responsibility to review these terms periodically.

2. Legal Use of the Website

The content on this website is provided for general information purposes only. Taskiva makes no representations or warranties of any kind, express or implied, about the completeness, accuracy, reliability, suitability, or availability of any information, products, services, or related graphics contained on this website.

Any reliance you place on such information is strictly at your own risk. Taskiva shall not be liable for any loss or damage, including without limitation, indirect or consequential loss or damage, arising from the use of this website.

3. Terms of Service for Clients

Service Description: Taskiva provides AI-powered phone answering services including call handling, appointment booking, call transfers, spam filtering, and multilingual support. Services are provided on a subscription basis according to your selected plan (Standard, Pro, or Enterprise).

Client Responsibilities:

  • You agree to provide accurate, current, and complete information during onboarding and maintain the accuracy of such information.

  • You are responsible for ensuring your use of Taskiva complies with all applicable laws and regulations in your jurisdiction.

  • You must not use Taskiva's services for any unlawful, fraudulent, or harmful purpose.

  • You are solely responsible for the content, accuracy, and legality of the information you provide for the AI to communicate to your callers.

Service Limitations:

  • Taskiva's AI receptionist is an automated system and may not handle every caller inquiry perfectly. Taskiva does not guarantee that all calls will be answered or handled to your satisfaction.

  • Taskiva does not access, manage, or verify inventory, pricing, or other real-time business data unless explicitly integrated. Inventory and stock inquiries are transferred to your staff as described during onboarding.

  • Taskiva is not liable for missed business opportunities, lost revenue, or any damages resulting from calls that were not answered, incorrectly handled, or dropped due to technical issues, carrier problems, or circumstances beyond our control.

Uptime & Service Interruptions:

  • While Taskiva strives for maximum uptime, we do not guarantee uninterrupted service. Service outages may occur due to maintenance, third-party provider issues, carrier outages, internet disruptions, or unforeseen technical problems.

  • Taskiva is not liable for any losses or damages arising from service downtime or interruptions, regardless of cause or duration.

  • In the event of an outage, clients are responsible for implementing their own backup call handling procedures as outlined during onboarding.

Minute Allocation & Overage:

  • Standard and Pro plans include up to 2,500 pooled minutes per month for inbound and outbound calls.

  • Minutes exceeding the monthly allocation are billed at $0.05 per minute, calculated in 1-second increments.

  • Unused minutes do not roll over to subsequent billing periods.

  • Overage charges are added to the next monthly invoice.

Payment & Billing:

  • Setup fees are due upon signing and are non-refundable once onboarding begins.

  • Monthly subscription fees are billed in advance on a recurring basis.

  • Failure to pay may result in suspension or termination of services.

  • Monthly subscription fees are non-refundable except for the most recent billing period, which may be refunded upon cancellation request at Taskiva's discretion.


    Cancellation:

  • You may cancel your subscription at any time by providing notice to Taskiva.

  • Cancellation takes effect at the end of your current billing period. No refunds or credits will be issued for partial months.

  • Taskiva reserves the right to terminate your account immediately if you breach these terms, engage in fraudulent activity, or use services in a way that harms Taskiva or its reputation.

Limitation of Liability:

  • To the maximum extent permitted by law, Taskiva, its owners, employees, affiliates, and partners shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, revenue, data, business opportunities, or goodwill, arising from or related to your use of our services.

  • Taskiva's total liability for any claim arising from these terms or our services shall not exceed the total amount paid by you to Taskiva in the three (3) months preceding the claim.

  • Taskiva is not liable for any actions, errors, or omissions of third-party service providers, including but not limited to telecommunications carriers, calendar providers, or AI technology providers.

Indemnification:

  • You agree to indemnify, defend, and hold harmless Taskiva, its owners, employees, and affiliates from any claims, damages, losses, liabilities, costs, and expenses (including legal fees) arising from your use of our services, your breach of these terms, or your violation of any law or third-party rights.

4. Intellectual Property Rights

Unless otherwise stated, Taskiva owns the intellectual property rights for all material on this website and all proprietary technology, systems, workflows, and processes used to deliver our services. All intellectual property rights are reserved.

You may access and use the website for your own personal or business purposes, subject to the restrictions set out in these terms.

You must not:

  • Republish material from this website without permission.

  • Sell, rent, or sub-license any material from this website or our services.

  • Reproduce, duplicate, or copy material from this website for commercial purposes.

  • Reverse engineer, decompile, or attempt to extract the source code of Taskiva's AI systems or technology.

  • Redistribute content from Taskiva unless specifically authorized in writing.

Any recordings, transcripts, or data generated through Taskiva's services remain the property of Taskiva, with a license granted to the client for their internal business use only.


5. Governing Law

These terms are governed by and construed in accordance with the laws of the Commonwealth of Massachusetts, United States. By accessing this website and using our services, you consent to the exclusive jurisdiction of the courts in Middlesex County, Massachusetts for any disputes arising out of or relating to these terms or your use of our services.

Any disputes shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, disputes shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, and judgment on the award may be entered in any court of competent jurisdiction.

Class Action Waiver: You agree that any disputes will be resolved individually and that you waive any right to participate in a class action lawsuit or class-wide arbitration against Taskiva.

Severability: If any provision of these terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
