1. Agreement to Terms
These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("Client," "you," or "your") and Taskiva ("Taskiva," "we," "us," or "our"), a business operating under the laws of the Commonwealth of Massachusetts, with its principal place of business at 748 Boston Road, Billerica, MA 01821.
By accessing our website (taskiva.ai), signing a Client Service Agreement, or using any of our services, you acknowledge that you have read, understood, and agree to be bound by these Terms in their entirety. If you do not agree to these Terms, you must not use our website or services.
Taskiva reserves the right to modify these Terms at any time. We will notify active clients of material changes via email at least thirty (30) days before changes take effect. Continued use of our services after the effective date constitutes acceptance of the updated Terms. It is your responsibility to review these Terms periodically.
2. Service Description
Taskiva provides AI-powered phone answering and receptionist services for businesses, including but not limited to:
- 24/7 automated call answering and handling
- Appointment booking, rescheduling, and cancellation integrated with your calendar system
- Automated appointment confirmation via email and SMS
- Automated no-show follow-up outbound calls to your customers
- Call transfers to designated business staff
- Spam call filtering and detection
- Automatic language detection and multilingual support
- Call recording and transcript availability upon request
Services are provided on a subscription basis according to your selected plan. Taskiva's AI receptionist is powered by advanced artificial intelligence technology and is not a human agent.
3. Service Packages and Pricing
Taskiva offers the following service packages:
Standard Package: $1,199 one-time setup fee + $599/month. Includes up to 500 pooled minutes per month for inbound and outbound calls.
Business Package: $1,499 one-time setup fee + $699/month. Includes up to 750 pooled minutes per month, branded caller ID, business profile setup (requires EIN), and multilingual support.
Enterprise Package: Custom pricing and allocation. Includes everything in the Business Package plus multiple numbers, dedicated account manager, advanced analytics, and custom integrations.
4. Minute Allocation and Overage
Each package includes a monthly allocation of pooled minutes for both inbound and outbound calls. Minutes exceeding the monthly allocation are billed at $0.35 per minute, calculated in 1-second increments. Clients pay only for the exact extra time used. Unused minutes do not roll over to subsequent billing periods. Overage charges are added to the next monthly invoice.
5. Payment and Billing
Setup fees are due upon execution of the Client Service Agreement and are non-refundable once onboarding begins. Monthly subscription fees are billed in advance on a recurring basis. Failure to pay outstanding invoices within fifteen (15) days of the due date may result in suspension or termination of services. Taskiva reserves the right to charge late fees of 1.5% per month on overdue balances.
6. Cancellation and Refunds
You may cancel your subscription by providing thirty (30) days written notice to Taskiva at hq@taskiva.ai. Cancellation takes effect at the end of the current billing period following the 30-day notice window. No refunds or credits will be issued for partial months or unused minutes. Setup fees are non-refundable. Upon cancellation, your AI agent and associated phone number(s) will be deactivated at the end of the billing cycle. Call recordings and associated data will be retained for thirty (30) days after cancellation, after which they will be permanently deleted. Taskiva reserves the right to terminate your account immediately if you breach these Terms, engage in fraudulent activity, or use services in a manner that harms Taskiva, its systems, or its reputation.
7. Client Responsibilities
You agree to provide accurate, current, and complete information during onboarding and to maintain the accuracy of such information throughout the term of service. You are responsible for ensuring your use of Taskiva's services complies with all applicable federal, state, and local laws and regulations in your jurisdiction. You must not use Taskiva's services for any unlawful, fraudulent, deceptive, or harmful purpose. You are solely responsible for the content, accuracy, and legality of the information you provide for the AI to communicate to your callers, including but not limited to business hours, service offerings, pricing, and policies.
8. Outbound Calling and TCPA Consent
Taskiva's services include automated outbound calling features, including but not limited to no-show follow-up calls to your customers. By using Taskiva's services, you represent and warrant that:
- You have obtained all necessary consents from your customers to receive automated telephone calls and text messages at the phone numbers provided, as required by the Telephone Consumer Protection Act (TCPA), 47 U.S.C. § 227, and all applicable state laws.
- You authorize Taskiva to make outbound calls and send SMS messages to your customers on your behalf using automated technology, including artificial intelligence voice agents.
- You will include appropriate consent language in your own customer intake forms, service agreements, or terms of service that informs your customers that they may receive automated calls and text messages related to their appointments.
- You will maintain records of all consents obtained from your customers and will provide such records to Taskiva upon request.
You agree to indemnify and hold Taskiva harmless from any and all claims, damages, fines, penalties, and legal fees arising from your failure to obtain proper consent for outbound communications to your customers.
9. Call Recording and Disclosure
All calls handled by Taskiva's AI receptionist are recorded and may be stored for service delivery, quality assurance, and dispute resolution purposes. Taskiva's AI agents include a recording disclosure at the beginning of each customer-facing call. However, you are ultimately responsible for ensuring compliance with all applicable federal and state call recording and wiretapping laws in your jurisdiction, including but not limited to two-party consent states such as Massachusetts (M.G.L. Chapter 272, Section 99). You acknowledge that Taskiva's AI receptionist will honestly disclose that it is an AI system when directly asked by a caller. Taskiva is not liable for any failure by clients to comply with call recording consent laws in their jurisdiction.
10. AI Disclosure and Acknowledgment
You acknowledge and agree that Taskiva's receptionist services are provided by artificial intelligence technology, not human agents. While the AI is designed to handle calls in a natural, human-like manner, it is an automated system with inherent limitations. The AI may occasionally misinterpret caller requests, provide incorrect information based on the data you have provided, or fail to handle complex or unusual situations. Taskiva is not a substitute for human staff and should not be relied upon as your sole means of customer communication for matters requiring human judgment, legal advice, medical guidance, or emergency response.
11. Service Limitations
Taskiva does not guarantee that all calls will be answered or handled to your satisfaction. Taskiva does not access, manage, or verify inventory, pricing, or other real-time business data unless explicitly integrated. Inventory and stock inquiries are transferred to your staff. Taskiva is not liable for missed business opportunities, lost revenue, or any damages resulting from calls that were not answered, incorrectly handled, or dropped due to technical issues, carrier problems, or circumstances beyond our control.
12. Uptime and Service Interruptions
Taskiva targets 99% uptime for all AI receptionist services. However, we do not guarantee uninterrupted service. Service outages may occur due to scheduled maintenance, third-party provider issues, carrier outages, internet disruptions, or unforeseen technical problems. In the event of an extended outage exceeding twenty-four (24) continuous hours, affected clients will receive a pro-rated credit applied to their next monthly invoice. Taskiva is not liable for any losses or damages arising from service downtime or interruptions, regardless of cause or duration. Clients are responsible for implementing their own backup call handling procedures as outlined during onboarding.
13. HIPAA Disclaimer
Taskiva's Standard Package services are NOT compliant with the Health Insurance Portability and Accountability Act (HIPAA). If you are a healthcare provider, covered entity, or business associate subject to HIPAA, you must not use Taskiva's Standard Package services to handle, transmit, or store protected health information (PHI). HIPAA-compliant service configurations may be available under the Business or Enterprise Package with a separately executed Business Associate Agreement (BAA). Contact Taskiva for details. You are solely responsible for determining whether your use of Taskiva's services complies with HIPAA and all other applicable healthcare privacy regulations.
14. Data Handling and Security
Taskiva takes the security of client and caller data seriously. All API keys and credentials are encrypted and stored securely. All data transmissions are encrypted using SSL/TLS. Endpoint security includes cryptographic signature verification. DDoS protection is provided via Cloudflare. However, no method of transmission over the internet or electronic storage is 100% secure. Taskiva cannot guarantee absolute security. Taskiva is not liable for unauthorized access to or alteration of your data resulting from cyberattacks, breaches of third-party systems, or other events beyond our reasonable control.
15. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, TASKIVA, ITS OWNERS, OFFICERS, EMPLOYEES, AFFILIATES, AND PARTNERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, REVENUE, DATA, BUSINESS OPPORTUNITIES, GOODWILL, OR ANY OTHER INTANGIBLE LOSSES, ARISING FROM OR RELATED TO YOUR USE OF OR INABILITY TO USE OUR SERVICES, REGARDLESS OF WHETHER TASKIVA HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. TASKIVA'S TOTAL AGGREGATE LIABILITY FOR ANY AND ALL CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR OUR SERVICES SHALL NOT EXCEED THE TOTAL AMOUNT PAID BY YOU TO TASKIVA IN THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM. TASKIVA IS NOT LIABLE FOR ANY ACTIONS, ERRORS, OMISSIONS, OR FAILURES OF THIRD-PARTY SERVICE PROVIDERS, INCLUDING BUT NOT LIMITED TO TELECOMMUNICATIONS CARRIERS, CALENDAR PROVIDERS, AI TECHNOLOGY PROVIDERS, OR PAYMENT PROCESSORS.
16. Indemnification
You agree to indemnify, defend, and hold harmless Taskiva, its owners, officers, employees, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorney's fees) arising from or related to: (a) your use of our services; (b) your breach of these Terms; (c) your violation of any applicable law, regulation, or third-party right; (d) your failure to obtain required consents for outbound calling or call recording; (e) any content, information, or instructions you provide to Taskiva for use in your AI receptionist; or (f) any dispute between you and your customers related to calls handled by Taskiva.
17. Force Majeure
Taskiva shall not be liable for any failure or delay in performing its obligations under these Terms if such failure or delay results from circumstances beyond Taskiva's reasonable control, including but not limited to natural disasters, acts of war or terrorism, pandemics, government actions or regulations, power outages, internet or telecommunications failures, cyberattacks, or failures of third-party service providers.
18. Intellectual Property
Taskiva owns all intellectual property rights in its website, AI technology, systems, workflows, processes, and proprietary materials. You are granted a limited, non-exclusive, non-transferable license to use our services during the term of your subscription. You must not republish, sell, rent, sub-license, reproduce, reverse engineer, decompile, or attempt to extract the source code of any Taskiva technology. Any recordings, transcripts, or data generated through Taskiva's services remain the property of Taskiva, with a limited license granted to the client for their internal business use only.
19. Governing Law and Dispute Resolution
These Terms are governed by and construed in accordance with the laws of the Commonwealth of Massachusetts, without regard to its conflict of law provisions. Any disputes arising out of or relating to these Terms or your use of our services shall first be attempted to be resolved through good-faith negotiation for a period of thirty (30) days. If negotiation fails, disputes shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, conducted in Middlesex County, Massachusetts. Judgment on the award may be entered in any court of competent jurisdiction.
CLASS ACTION WAIVER: YOU AGREE THAT ANY DISPUTES WILL BE RESOLVED INDIVIDUALLY AND THAT YOU WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION AGAINST TASKIVA.
20. Severability
If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
21. Entire Agreement
These Terms, together with any Client Service Agreement executed between you and Taskiva, the Privacy Policy, and any other agreements referenced herein, constitute the entire agreement between you and Taskiva with respect to the subject matter hereof and supersede all prior or contemporaneous communications, representations, or agreements, whether oral or written.
